华沿机器人(01021)近日发布公告，拟于6月22日召开年度股东大会，审议向董事会授予股份购回的一般授权。根据公告，本次授权上限为公司已发行H股(不包括任何库存股)总数的10%，即最多可回购53,903,878股H股。
该公司目前在香港联交所主板上市，已发行股本共计557,066,580股，其中H股539,038,780股。公告显示，华沿机器人将在合法前提下，通过上市规则及内地相关法规所允许的资金渠道进行购回操作。公司表示，回购旨在提升每股价值并确保股东的整体利益，如若董事会认为合适，将在股东大会授权通过后实施。自2026年3月30日上市以来，华沿机器人H股交易价格区间介于每股16.20港元至25.12港元之间。
公司年度股东大会将于2026年6月22日下午在中国深圳市举行，股东名册自6月16日至6月22日(含首尾两日)将暂停办理股份过户。董事会建议股东投票赞成该回购议案，并认为若实施购回有助于提高股东回报、优化资本结构，符合公司及股东的最佳利益。
