知行科技（01274）拟回购股份 上限为已发行H股总数10%

知行科技（01274）于近日公告，董事会已审议通过一项股份购回议案，拟在股东大会上寻求一般授权，以在香港联交所回购公司不超过已发行H股总数（不含库存股）10%的股份。根据披露，公司本次回购授权如获股东批准，将以257,442,540股H股为基准，最多可回购25,403,404股。

公告显示，知行科技的回购资金将来自符合公司章程、上市规则及中国法律法规规定的自有或合规资金。公司董事会认为，适时回购H股有助于提升股东价值回报，并优化股权结构，同时对公司及股东整体利益具有正面意义。

董事会强调，本次回购计划符合知行科技以及股东的最佳利益。过去十二个月，公司H股于联交所的最高成交价为25.00港元/股，最低成交价为2.86港元/股。若该授权在即将召开的股东大会上获得通过，自通过之日起至下届年度股东会结束或决议撤销之日前，均可在联交所择机实施股份回购。

知行科技拟于2026年6月18日召开年度股东大会，就上述议案进行表决。公司将于2026年6月15日至6月18日暂停办理H股过户登记。董事会认为，授权一旦生效，将为知行科技的股价和股东利益提供长期支持。上述方案尚须公司股东于股东大会审议并通过。届时如公司实施回购并注销相应股份后，将根据实际回购数量依法变更注册资本及修订公司章程。
