国银金租(01606)董事会宣布，于2026年3月6日，公司全资附属公司CDB Aviation Lease Finance DAC的若干全资附属公司与JSA International U.S. Holdings, LLC（简称JSA）签订买卖协议，以信托受益权转让方式出售四架B737-8飞机。根据公告，JSA由东京证券交易所上市公司Mitsubishi HC Capital Inc.间接全资拥有。
上述交易构成香港联合交易所有限公司证券上市规则第14章项下的须予披露交易，原因是相关最高适用百分比率超过5%但低于25%。公司已申请并获准豁免严格遵守上市规则第14.34条，同时确认将符合第14.33C条有关条款。董事会表示，此次交易在日常及一般业务过程中按一般商业条款订立，条款公平合理，并符合公司及其股东整体利益。
国银金租成立于1984年，2015年9月28日改制为股份有限公司，主要业务包括为飞机、船舶、区域发展、普惠金融、绿色能源和高端装备制造等领域客户提供综合性租赁服务。董事会表示，公司已满足成为合资格飞机出租商的要求，并将在后续阶段遵守上市规则的所有适用规定。
