Laguna Resorts & Hotels posts 2026 AGM minutes, declares dividend and warns of potential delisting

Laguna Resorts & Hotels Public Company Limited announced on May, 6 2026 that the minutes of its Apr, 22 2026 Annual General Meeting (AGM) have been published on the company’s website and submitted to the Stock Exchange of Thailand (SET).

The AGM, held via electronic meeting, confirmed 2025 revenue of 9.3 billion and net profit of 2.0 billion, up from 7.6 billion and 0.9 billion respectively in the prior year. Revenue was driven by 3.9 billion from hotel operations and 4.9 billion from property sales, while total assets rose to 35 billion.

Shareholders approved the audited financial statements for the year ended Dec, 31 2025 and sanctioned a cash dividend of 1.45 per share, payable on May, 20 2026 to shareholders on record as of May, 5 2026.

The meeting re-elected four directors—Ho KwonPing, Ariel P Vera, Stuart David Reading and Ho Ren Yung—for new terms, and approved a 2 percent increase in directors’ fees effective Jan, 1 2026. EY Office Limited was reappointed as auditor for 2026 with a fee cap of 875,000.

Management also briefed investors on the company’s continued non-compliance with the SET’s free-float requirement, noting that its shares have been under trading suspension since Jun, 5 2025. The board said the major shareholder has no current plan to pursue measures such as a tender offer, and warned that the company’s securities remain at risk of delisting if the free-float shortfall is not rectified.
