EFT Solutions lines up Aug 7 AGM with HK$0.02 dividend, 20% issue mandate and 10% buy-back authority

EFT Solutions Holdings Limited has dispatched its 2026 AGM circular outlining five key resolutions for shareholder approval on 7 August 2026 at 11:00 a.m. in Central, Hong Kong.

1. Capital mandates • General mandate: Directors seek authority to allot and issue up to 96.00 million new shares, equivalent to 20% of the current 480.00 million issued shares. • Repurchase mandate: Authorisation to buy back up to 48.00 million shares, or 10% of issued capital. • Extension mandate: Any shares repurchased may be added to the issuance limit, potentially raising the effective issuance headroom to 30%.

2. Final dividend • A dividend of HK$0.02 per share is proposed for the year ended 31 March 2026, representing a cash outlay of no less than HK$9.60 million. • Ex-dividend/record timetable: Share register closes 20–21 August 2026; record date 21 August 2026; transfers must be lodged by 4:30 p.m. on 19 August 2026.

3. Board composition • Re-election of Chairman & CEO Lo Chun Kit Andrew, Non-executive Director Lui Hin Weng Samuel and Independent Non-executive Director Chow Ka Wo Alex. • Post-re-election, the board will remain at six members (one executive, two non-executive, three independent).

4. Auditor • Re-appointment of KPMG as external auditor for the coming fiscal year.

5. Meeting logistics and register closure • Shareholders must be on record by 3 August 2026 to vote; register closed 4–7 August 2026. • Proxy forms must reach Tricor Investor Services by 11:00 a.m. on 5 August 2026.

Additional information • Controlling shareholder LCK Group Limited and Chairman Lo collectively hold 357.73 million shares, or 74.53% of issued capital. A full 10% buy-back would raise their stake to roughly 80%, still compliant with Hong Kong’s 25% public-float requirement. • No share repurchases were conducted in the six months preceding 8 July 2025, the latest practicable date for the circular.

The board recommends shareholders vote in favour of all resolutions at the AGM.
