<b>ZHONGKE GROUP</b> (<b>03321.HK</b>) Plans to Increase Authorized Shares and Issue Convertible Bonds

ZHONGKE GROUP (03321.HK) has announced that its board of directors will propose an ordinary resolution at an extraordinary general meeting, seeking shareholder approval to increase the company's authorized share capital.

Under the proposal, the company intends to add 900 million unissued shares, thereby raising its authorized share capital from HK$10 million (divided into 100 million shares) to HK$100 million (divided into 1 billion shares).

Separately, on July 23, 2026, ZHONGKE GROUP entered into a subscription agreement with subscriber Dingan Zhuobai Management Limited. Under the agreement, the company has conditionally agreed to issue, and the subscriber has conditionally agreed to subscribe for, convertible bonds with a total principal amount of US$3 million (equivalent to approximately HK$23.4 million).
