2026年7月22日，吉宏股份（02603）发布公告称，依据2026年第一次临时股东大会通过的《关于增发公司 H 股股份一般性授权的议案》，公司已于2026年7月20日向不少于6名承配人配发及发行合计9,371,500股新H股。
本次配售完成后，公司A股股份数量保持380,635,288股不变，H股股份数量由67,910,000股增至77,281,500股，A+H总股本由448,545,288股增至457,916,788股。
由于总股本增加，控股股东、实际控制人庄浩及其一致行动人庄澍、贺静颖、张和平、陆它山合计持股数量维持11,301.5407万股不变，持股比例由25.20%被动稀释至24.68%。此变动触及1%及5%整数倍披露标准。
公司表示，本次权益变动不涉及要约收购，不影响控股股东及实际控制人地位，亦不改变公司治理结构及持续经营。
