SpaceX（Space Exploration Technologies Corp.）完成了先前宣布的对 Anysphere, Inc.（Cursor）的全股票收购，方式是其全资子公司 X67 Inc. 并入 Cursor，Cursor 现作为全资子公司运营。
在2026年8月14日生效时，Cursor 已发行的普通股和优先股被转换为获得总计 389,289,254 股 SpaceX A 类普通股的权利，基于 Cursor 隐含股权价值 600 亿美元，以及每股 SpaceX 价格等于交割前七个交易日的成交量加权平均收盘价。
已归属的 Cursor 限制性股票单位被转换为获得总计 1,752,426 股额外 A 类普通股的权利（税前扣缴前）。未归属的 Cursor RSU 和期权被承接并转换为约 29,128,326 份 SpaceX RSU 和约 44,365,047 份股票期权。此次股票发行是依据《证券法》第 4(a)(2) 条作为不涉及任何公开发行的交易进行的未注册发行。
