同程旅行(股票代码：00780)于最新公告披露，拟在即将召开的股东周年大会上审议并批准一项股份回购计划，授权董事会于一般授权有效期内，在不超过公司已发行股份（不含库存股份）总数10%的范围内回购公司股份。截至公告最后实际可行日期，公司已发行股份总数约为23.54亿股，如授权通过，可回购股份最多约2.35亿股。
公告称，回购资金将根据开曼群岛适用法律和公司组织章程细则的规定，通过公司可合法用于此用途的资金安排予以支付，并确保不会对整体业务的运营资金需求和债务水平产生重大不利影响。公司认为，该回购计划在适当时机有助于提升股东价值和优化资本结构。公司表示，董事会认为上述回购授权符合公司及股东的整体最佳利益，并将持续关注市场状况，酌情决定行使回购权。
该方案尚需在2026年6月16日召开的股东周年大会上表决。若获通过，公司可在合法授权期限内灵活实施回购，所购回股份或将根据需要予以注销或作为库存股份持有。公告同时指出，目前公司并无进行回购的具体计划，未来将结合实际情况谨慎决策。根据公告，为确保表决权利，股东名册将于6月11日至6月16日停止办理过户登记，如股东有意参与表决应于当日前完善相关手续。
