Mingfa Group sets 5 June 2026 AGM; seeks 20% share-issue mandate, 10% buy-back limit and board re-elections

The board of Mingfa Group (International) Company Limited has summoned shareholders to an Annual General Meeting on 5 June 2026 at 11:00 a.m. in Nina Hotel Tsuen Wan West, Hong Kong. Key business for approval is summarised below.

Financial statements • Shareholders will vote on adoption of the audited consolidated financial statements, directors’ report and independent auditor’s report for the year ended 31 December 2025.

Board composition • Re-election of five directors is proposed: executive director Mr Huang Zhibin; non-executive directors Dr Lam Lee G. and Ms Chen Bihua; and independent non-executive directors Mr Chu Kin Wang Peleus and Mr Chan Sing Lai. The board will be authorised to determine their remuneration.

Auditor • BDO Limited is nominated for re-appointment as external auditor, with fees to be set by the board.

Share capital mandates • General mandate to allot, issue or deal in additional shares— including disposal of treasury shares—up to 20% of the company’s issued share capital as at the AGM date. The mandate runs until the next AGM, the statutory deadline for holding it, or earlier revocation. • General mandate to repurchase up to 10% of issued shares on the Hong Kong Stock Exchange or other recognised markets, with repurchased shares either held as treasury stock or cancelled in line with regulatory requirements. • Extension mandate allowing the share-issuance limit to be increased by any shares repurchased under the 10% buy-back authority, effectively adding up to another 10% of share capital to the issuance ceiling.

Administrative details • The share register will be closed from 2 June 2026 to 5 June 2026 (both dates inclusive). Share transfers for voting eligibility must be lodged with Computershare Hong Kong Investor Services Limited by 4:30 p.m. on 1 June 2026.

The notice is dated 30 April 2026 and signed by Chairman and Non-executive Director Dr Lam Lee G. On the notice date the board comprised eight directors, including three executive, two non-executive and three independent non-executive members.
