心泰医疗（股票代码：02291）公告称，公司将于2026年5月22日召开2025年度股东周年大会，审议并决定是否授予董事会一项股份购回的一般授权，最高可回购不超过公司已发行H股（不包括库存股）总数的10%。公告显示，公司目前已发行H股为346,749,997股，如获授权，回购上限约为34,674,999股。
公告指出，购回资金将来自公司可合法用于回购的内部资源，相关程序将遵循香港联合交易所有限公司证券上市规则以及中国内地有关法规。公司方面表示，此举旨在进一步维护公司价值，增强投资者对公司前景的信心，并在适当的市场环境下以股份购回的方式提升股东回报。董事会认为，上述购回计划符合公司及股东整体最佳利益。
根据公告，若上述授权获股东大会批准并正式生效，授权有效期将持续至下届股东周年大会结束、通过决议案后12个月届满或股东大会特别决议撤销或修订授权之日，以三者中较早者为准。公司同时提醒股东如需行使表决权，应留意相关过户登记截止时间安排。
