DPC Dash Sets 28 May 2026 Virtual AGM; Board Seeks Fresh Mandates on Share Issuance, Repurchase and Governance Update

DPC Dash Ltd has issued a notice convening its 2025 Annual General Meeting for 9:00 a.m. on Thursday, 28 May 2026. The meeting will be conducted exclusively online, enabling shareholders to view a live webcast, submit questions and vote in real time.

Key resolutions to be tabled include:

1. 2025 Financial Statements • Shareholders will consider and adopt the audited consolidated financial statements, together with directors’ and auditor’s reports, for the year ended 31 December 2025.

2. Board Composition • Re-election of Executive Director Yi Wang, Non-executive Director Weiking Ng and Independent Non-executive Director Bin Yu. • Authorisation for the board to set directors’ remuneration.

3. Auditor Re-appointment • Renewal of PricewaterhouseCoopers as external auditor with authority for the board to determine audit fees.

4. Capital Mandates A. General mandate to allot and issue shares, including transfer of treasury shares, up to 20% of the company’s issued share capital as at the date of the AGM. B. Share repurchase mandate allowing on-market buy-backs of up to 10% of issued shares (excluding treasury shares) during the mandate period. C. Extension of the share-issuance mandate by the amount of shares repurchased under the buy-back mandate, capped at an additional 10%.

5. Governance Documentation • Adoption of a tenth amended and restated memorandum and articles of association, replacing the current ninth version.

Administrative details:

• Record Date & Book Closure: Shareholders must be on the register by Thursday, 21 May 2026; the register will be closed from 22–28 May 2026 (both days inclusive). • Voting Method: All resolutions will be decided by poll. Shareholders may vote online or via proxy. • AGM Access: The online platform opens 30 minutes before commencement; login must be completed at least five minutes prior to meeting start.

As of the notice date (29 April 2026), the board comprises one executive director, five non-executive directors and three independent non-executive directors. The company reiterates that holders of treasury shares, if any, are not entitled to vote at the AGM.
