Shentong Robot Education Group Company Limited has unveiled a restructuring package that combines a deep share consolidation with a connected debt capitalisation and a whitewash waiver request, all of which will be put to shareholders at an extraordinary general meeting (EGM) on 7 October 2026.

Share Consolidation • Every 50 existing shares of HK$0.01 par value will be consolidated into one new share of HK$0.50. • Post-consolidation, the company’s authorised capital will remain HK$100 million, but divided into 200 million consolidated shares, of which 37.91 million will be in issue. • Board-lot size stays at 1,000 shares; theoretical board-lot value rises from HK$38 to HK$1,900 based on the last trading price before suspension (HK$0.038 per old share). • Fractional entitlements will be aggregated and sold for the company’s benefit.

Debt Capitalisation • The company, its subsidiary Copious Link Ventures and controlling shareholder China Communication Investment Limited (CCI) signed a subscription agreement on 31 August 2026. • Shentong will issue 17.36 million consolidated shares at HK$3.75 each, offsetting HK$65.10 million of the HK$95.66 million owed to CCI. • No cash proceeds will be received; the liability will fall to HK$30.56 million, of which HK$30 million matures on 15 August 2027 and the HK$0.56 million balance is payable on demand. • The subscription price represents a 97.37% premium to the last traded price (HK$1.90 per consolidated share after adjustment).

Post-Deal Shareholding • CCI’s interest will rise from 28.59% to 51.02% of the enlarged share capital; public float will decline from 71.26% to 48.88%. • The increase triggers a mandatory offer requirement under the Takeovers Code; Shentong is seeking a whitewash waiver from the Securities and Futures Commission.

Conditions and Timetable • The consolidation, debt capitalisation and whitewash waiver require approval by independent shareholders. • Trading in Shentong’s shares has been suspended since 14 October 2025; resumption is targeted on or before 13 October 2026 following satisfaction of Stock Exchange resumption guidance and approval of the proposals. • Shareholders must lodge transfers by 30 September 2026 to vote at the 7 October EGM; proxy forms are due by 5 October 2026.

Strategic Rationale Management cites the need to lift the nominal share price away from HK$0.01 extremity, reduce net liabilities (HK$56.14 million as at 31 March 2026) and strengthen the balance sheet without cash outflow. The board views alternative fundraising routes as less certain given the prolonged suspension of trading.

Independent Scrutiny An Independent Board Committee and Rainbow Capital (HK) Limited, acting as independent financial adviser, have been appointed to review the debt capitalisation and whitewash waiver. Both the committee and adviser deem the terms fair and reasonable, recommending independent shareholders to vote in favour.

EGM Details The EGM will be held at Shentong’s Hong Kong office on 7 October 2026 at 11:00 a.m. to consider and approve the share consolidation, debt-for-equity swap, specific mandate for issuing subscription shares, and the whitewash waiver.
