Redsun Services Group Limited (RSUN SER) disclosed a forthcoming change in key corporate governance positions and confirmed receipt of a new waiver from Hong Kong Exchanges and Clearing Limited regarding Listing Rules 3.28 and 8.17.
Ms. Charmayne Chan will resign as Joint Company Secretary, Authorised Representative and Process Agent with effect from 19 October 2026. The Board stated that Ms. Chan has no disagreement with directors and that no matters require shareholder attention in connection with her departure.
Effective the same date, Ms. Joanna Lau will assume the roles of Joint Company Secretary, Authorised Representative and Process Agent. Mr. Jia Hongbo continues as the other Joint Company Secretary, maintaining his responsibilities as Chairman, Executive Director and Authorised Representative.
Background on Listing Rules waiver: • In May 2024, RSUN SER obtained a waiver allowing Mr. Jia to serve as Joint Company Secretary despite not yet meeting the “relevant experience” criteria, provided Ms. Chan assisted him until 28 May 2027. • With Ms. Chan’s resignation, the company applied for— and has now received—a new waiver covering the period from Ms. Lau’s appointment on 19 October 2026 through 28 May 2027. The concession remains conditional on Ms. Lau supporting Mr. Jia and may be revoked in case of material Listing Rule breaches. The Exchange will review Mr. Jia’s eligibility at the end of the waiver term.
Management profiles: • Mr. Jia has served as Joint Company Secretary since May 2024 and has over 20 years of engineering management experience and more than 10 years in corporate governance and company secretarial functions. • Ms. Lau, Head of Corporate Services at Acclime Corporate Services Limited, brings more than 25 years of corporate and regulatory compliance experience and holds Chartered Secretary and Chartered Governance Professional designations.
The Board thanked Ms. Chan for her contributions and welcomed Ms. Lau to her new roles. As of 16 October 2026, RSUN SER’s Board comprises two executive directors and five independent non-executive directors.
