International Genius Company (Stock Code: 33) announced the appointment of two new independent non-executive directors (INEDs), effective 20 October 2025. The Board has confirmed that both appointees satisfy relevant independence requirements.

Mr. Chiu, aged 51, brings over 28 years of experience in capital market operations and financial management. He has held roles at listed entities in Hong Kong and Mainland China, including a prior position as chief financial officer and company secretary of Radiance Holdings (Group) Company Limited. He holds professional qualifications from the Hong Kong Institute of Certified Public Accountants and the American Institute of Certified Public Accountants.

Ms. Tsang, aged 51, has over 20 years of experience in regulatory compliance, corporate finance, internal control, and financial management, including multiple board and company secretary positions at listed companies. She also holds qualifications from the Hong Kong Institute of Certified Public Accountants and the American Institute of Certified Public Accountants.

Each has entered a three-year appointment with an annual remuneration of HK$360,000. Following their appointments, Mr. Chiu has joined the Audit Committee, Remuneration Committee, Nomination Committee, and Risk Management Committee. As a result, the Company meets the relevant Listing Rules requirements for independent non-executive directors and audit committee composition.
