BLACK SESAME (02533) announced that all conditions under the subscription agreement have been fulfilled, and the completion of the subscription was implemented on May 8, 2026, in accordance with the terms of the agreement. Under the terms and conditions of the subscription agreement, a total of 33,544,600 subscription shares have been successfully allotted and issued to the subscriber at a subscription price of HK$18.88 per share. This represents approximately 4.94% of the total issued shares immediately prior to the completion of the subscription, and approximately 4.71% of the enlarged issued share capital following the allotment and issuance of the subscription shares. The net proceeds from the subscription amount to approximately HK$632.4 million.
