Alpha Professional Announces 1-for-1 Rights Issue Priced at HK$0.20 per Share

Alpha Professional Holdings Limited has unveiled a rights issue on a non-underwritten basis, offering existing shareholders the opportunity to subscribe for one new share (“Rights Share”) for every one share held as of the record date, 22 October 2026. The subscription price is set at HK$0.200 per Rights Share.

Shareholders can trade the nil-paid Rights Shares on the Hong Kong Stock Exchange from 27 October to 3 November 2026 (both dates inclusive). Acceptance and payment for provisional allotments, as well as applications for excess Rights Shares, must be completed by 4:00 p.m. on 6 November 2026. Excess applications will be allotted at the Board’s discretion; allocation results are scheduled for release on 13 November 2026, with share certificates and refund cheques (if any) expected to be dispatched on or before 16 November 2026.

The transaction is conditional on the fulfilment of all requirements outlined by the Board—including regulatory approvals—by 18 December 2026. As the offering is not underwritten and carries no statutory minimum subscription level, Alpha Professional will proceed with the Rights Issue irrespective of the final take-up rate; any shortfall will simply reduce the overall size of the issue.

Subject to the Stock Exchange granting listing approval and Hong Kong Securities Clearing Company Limited (HKSCC) admitting the shares, both nil-paid and fully-paid Rights Shares will be eligible for deposit, clearance and settlement in CCASS from the first day of trading in each form. Shareholders are cautioned that dealings in existing shares on an ex-rights basis from 13 October 2026 and in nil-paid Rights Shares during their trading period will be at investors’ own risk, as the Rights Issue will lapse if its conditions are not met.

Should a No. 8 or higher typhoon signal, “extreme conditions” or a black rainstorm warning be in force at prescribed times on 6 November 2026, the final acceptance and payment deadline will be deferred in accordance with the contingency arrangements set out in the prospectus.

Alpha Professional emphasises that participation in the excess application process is voluntary and subject to allocation constraints; no assurance is given that any applicant will receive the full number of excess Rights Shares applied for.
