China CBM releases circular to terminate 2022 Share Option Scheme and seek approval for new 2026 plan

​On 24 June 2026, China CBM Group Company Limited issued a circular announcing two key proposals to be put before shareholders:

1. Termination of the 2022 Share Option Scheme – The board intends to discontinue the existing 2022 scheme and will seek shareholder approval at an upcoming Special General Meeting (SGM). – All outstanding share options granted under the 2022 plan will be addressed in accordance with its terms.

2. Adoption of a new 2026 Share Option Scheme – Details of the proposed 2026 scheme, including eligibility, option limits and administrative arrangements, are set out in the circular now available on the company’s website (https://hkirplatform.com/8270/en/index.php) and the Hong Kong Stock Exchange website (www.hkexnews.hk). – Shareholders will vote on the adoption of the new scheme at the same SGM.

Supporting documents • The circular, SGM notice and proxy form (collectively, the “Current Corporate Communication”) are accessible online in both English and Chinese. • Registered shareholders who previously opted for printed communications will receive hard copies. Others may request printed versions free of charge by submitting the enclosed reply form to Tricor Investor Services Limited or emailing 8270-ecom@vistra.com.

Logistics and shareholder actions • Shareholders preferring printed documents or wishing to update their email addresses should return the completed reply form to the share registrar or send an email request. • Without a valid email on record, shareholders will continue to receive physical notices and actionable communications. • Enquiries can be directed to the registrar’s hotline at (+852) 2980 1333 during business hours.

Next steps The SGM date and venue are specified in the circular and notice. Shareholders are encouraged to review the materials and, if unable to attend, to submit proxy forms by the stated deadline to ensure their votes are counted.
