CCB (00939) Publishes Notice for Second Extraordinary Shareholders’ Meeting of 2025

China Construction Bank Corporation (the Bank), stock code 00939, has released details of the upcoming Second Extraordinary Shareholders’ Meeting of 2025, scheduled for 27 November 2025 at 14:50 in Beijing. The meeting will focus on two key resolutions: the 2025 interim profit distribution plan and the proposed issuance of capital instruments and total loss-absorbing capacity non-capital debt instruments.

The Bank intends to distribute an interim cash dividend of RMB1.858 per 10 shares (tax-inclusive), amounting to RMB48,605 million in total. If approved, these dividends will be paid on 26 January 2026 to shareholders whose names appear on the register of members at the close of the stock market on 10 December 2025. For H Shareholders, the share register will be closed from 5 December 2025 to 10 December 2025, inclusive. Unregistered H Shareholders must lodge share certificates and transfer documents by 16:30 on 4 December 2025.

Separately, in order to determine H Shareholders eligible to attend and vote at the meeting, the Bank’s register of members for H Shares will be closed from 24 November 2025 to 27 November 2025, inclusive. The record date is 27 November 2025, and share certificates must be lodged by 16:30 on 21 November 2025.

The meeting will accommodate both onsite and online voting (the latter being available to A Shareholders). Shareholders attending in person or by proxy are required to register as specified in the announcement, and the event is expected to last for half a day.
