TOM Group Limited has issued the proxy form for its 2026 Annual General Meeting, outlining a five-point agenda to be decided by poll.
The hybrid meeting will take place at 2:30 p.m. on 11 May 2026 at Room 302, 3/F, Pico Tower, 66 Gloucester Road, Wanchai, Hong Kong, with simultaneous online participation via the Computershare platform. If a No. 8 or above typhoon signal, black rainstorm warning or government-announced “extreme conditions” is in force at 11:30 a.m. that day, the meeting will automatically move to 18 May 2026 at the same time, venue and online platform.
Key resolutions are as follows:
1. Financial Statements: Shareholders will consider and adopt the audited financial statements, directors’ report and independent auditor’s report for the year ended 31 December 2025.
2. Board Composition: • Re-election of Non-executive Directors Mr. Frank John Sixt and Ms. Chang Pui Vee, Debbie. • Re-election of Executive Director Mr. Yeung Kwok Mung.
3. Auditor Re-appointment: PricewaterhouseCoopers is nominated to continue as independent auditor, with directors authorised to set the remuneration.
4. General Issuance Mandate: Directors seek authority to issue, allot and dispose of additional shares up to 10 % of the company’s issued share capital, at a discount not exceeding 10 % to the benchmarked price.
5. Share Repurchase Mandate: Approval is sought to repurchase shares representing up to 10 % of the total issued share capital.
Shareholders may appoint the chairman or another proxy to vote. Completed proxy forms must reach Computershare Hong Kong Investor Services Limited no later than 48 hours before the meeting. Voting will be conducted by poll, with each share carrying one vote.
