Taung Gold International Calls 28 Aug 2026 AGM to Approve FY-2026 Results, Board Re-elections, Auditor Renewal and 30% Share Mandates

Taung Gold International Limited has issued a notice convening its Annual General Meeting (AGM) for 11:00 a.m. on Friday, 28 August 2026, at Unit 1901, 19/F, Nina Tower, 8 Yeung Uk Road, Tsuen Wan, New Territories, Hong Kong.

Key items to be tabled:

1. FY-2026 financial statements • Shareholders will review and consider the audited consolidated results and accompanying reports for the financial year ended 31 March 2026.

2. Board composition and remuneration • Re-election of Executive Director Mr Phen Chun Shing Vincent. • Re-appointment of Independent Non-executive Directors Mr Li Kam Chung and Mr Tsui Pang, each having served more than nine years. • Authorisation for the Board to determine directors’ remuneration.

3. Auditor re-appointment • Deloitte Touche Tohmatsu is proposed for re-appointment as external auditor, with the Board authorised to fix remuneration.

4. Share repurchase mandate • Directors seek authority, for the period up to the next AGM or its statutory date, to repurchase company shares representing up to 10% of the existing issued share capital.

5. General issuance mandate • Management requests authority to allot and issue new shares and convertible securities up to 20% of the current issued share capital, with power to grant related offers and options.

6. Extension of issue mandate • Conditional on the above mandates being approved, the share issuance authority may be extended by the amount of shares actually repurchased, potentially raising the aggregate issuance capacity to 30% of the current issued share capital.

Administrative details:

• Shareholders recorded on 28 August 2026 are entitled to attend and vote. The share register will be closed from 25 to 28 August 2026; transfer documents must be lodged by 4:30 p.m. on 24 August 2026. • Voting at the AGM will be conducted by poll. Eligible shareholders may appoint one or more proxies; proxy forms must be submitted at least 48 hours before the meeting. • Contingency arrangements are in place for adverse weather conditions.

Board composition (as at 27 July 2026): Executive Directors – Ms Cheung Pak Sum (Chairman) and Mr Phen Chun Shing Vincent; Independent Non-executive Directors – Mr Chong Man Hung Jeffrey, Mr Li Kam Chung, and Mr Tsui Pang.
