Ahsay to Seek 20% Share Issue Mandate, 10% Buy-back Authority and Director Re-election at 15 May AGM

Ahsay Backup Software Development Company Limited has released its 2026 annual general meeting (AGM) circular outlining five key resolutions to be voted on 15 May 2026 in Hong Kong.

1. Capital Mandates • Issue Mandate: Directors seek authority to issue, allot or transfer treasury shares equal to up to 20% of the existing issued share capital—equivalent to a maximum of 400.00 million shares based on the current 2.00 billion shares outstanding. • Repurchase Mandate: The board also requests power to repurchase up to 10% of issued shares, or 200.00 million shares, during the mandate period. • Extension: If both mandates pass, the issue limit may be increased by the number of shares actually repurchased.

2. Board Composition Five directors are standing for re-election: • Executive Directors: Chong Siu Ning (Chairman) and Chong King Fan • Independent Non-Executive Directors (INEDs): Wong Pui Man (served >9 years), Kwok Chi Wah and Pun Chung Sang Trevor The Nomination Committee has confirmed the continued independence of all INEDs.

3. Auditor Ernst & Young is nominated for re-appointment as external auditor for the coming year, with remuneration to be set by the board.

4. Shareholder Logistics • AGM: 9:30 a.m., Friday, 15 May 2026, 28/F, Ford Glory Plaza, 37 Wing Hong Street, Lai Chi Kok, Hong Kong • Proxy forms must reach Tricor Investor Services by 9:30 a.m., 13 May 2026. • Share transfer books close from 12 May to 15 May 2026; only shareholders on record by 4:30 p.m., 11 May 2026 may vote.

5. Capital Structure Snapshot • Shares in issue: 2.00 billion (HK$0.01 par value) • Controlling shareholders collectively hold 75.00% of issued shares; a full 10% buy-back would lift their stake to about 83.33%, still meeting the minimum 25% public float requirement.

All proposed resolutions require ordinary-majority approval. Voting will be conducted by poll, with results announced post-meeting on the GEM website and the company’s investor site.
