China Gas Industry Investment Holdings Co. Ltd. (CGII HLDGS) reported that its sole ordinary resolution put forward at the Extraordinary General Meeting (EGM) on 27 May 2026 was passed by poll with full support from voting independent shareholders.

The resolution sought approval, confirmation and ratification of the Deeds of Assignment and granted authority to any one director to execute related documents and actions. All 433.76 million votes cast—representing 100.00% of the votes exercised—were in favour, with zero votes against.

Key voting statistics • Total shares in issue: 1.20 billion • Shares held by Tangde Gas Co., Limited (abstained due to connected-party status): 468.10 million, or 39.01% of total shares • Shares eligible to vote (independent shareholders): 731.90 million, or 60.99% of total shares • Shares actually voted: 433.76 million, implying a participation rate of 59.28% among eligible shares

Compliance and governance notes • The poll was conducted in accordance with Hong Kong Listing Rule 14A.36, requiring connected parties to abstain. • No other shareholders were required to abstain, and no shareholders indicated an intention to vote against or withhold their votes. • Tricor Investor Services Limited acted as the scrutineer for the poll. • All seven directors—including executive, non-executive and independent non-executive members—attended the meeting in person or electronically.

The successful passage of the resolution enables CGII HLDGS to proceed with the execution of the Deeds of Assignment and related transactions deemed in the company’s interest.
