CISI FIN acquires additional US$7.00 million Mizuho Bank 5.185% notes; cumulative holding reaches US$20.40 million and triggers discloseable transaction

China Industrial Securities International Financial Group Limited (CISI FIN) announced that its indirect wholly owned subsidiary, CISI Investment Ltd., purchased US$7.00 million principal amount of Mizuho Bank Ltd. 5.185% senior notes on 13 July 2026 for approximately US$6.99 million (HK$54.94 million).

Including earlier open-market purchases completed between 13 May and 9 July 2026, the Group now holds US$20.40 million principal of the same notes, acquired for a total consideration of approximately US$20.39 million (HK$160.06 million).

However, when aggregated with the five prior purchases (total consideration: US$13.39 million), one of the applicable percentage ratios exceeds 5% but remains under 25%. As a result, the series of acquisitions constitutes a discloseable transaction requiring public reporting but not shareholder approval.
