LUFAX: July Filing Shows Stable 1.73 Billion Issued Shares, USD 976.90 Million Convertible Notes Remain Outstanding

Lufax Holding Ltd (LUFAX) submitted its monthly return to Hong Kong Exchanges for the period ended 31 July 2026. Key points are as follows:

• Authorised capital stayed unchanged at 10.00 billion ordinary shares with a par value of USD 0.00001, representing total authorised capital of USD 100,000.

• Issued share count remained steady at 1.73 billion shares; the company held no treasury shares. Management confirmed compliance with the Main Board’s 25% public-float requirement.

• Equity incentive activity was minimal. Under the 2014 Share Incentive Plan, 3,390 options lapsed, leaving 7.24 million outstanding. No shares were issued from option exercises, and total funds raised from options were nil. Separately, 12.72 million shares (equivalent to 6.36 million ADSs) are still available for future grants under the 2019 Performance Share Unit Plan, with 185,205 shares currently reserved for issuance.

• Convertible exposure is concentrated in USD-denominated Ping An Convertible Promissory Notes, totaling USD 976.90 million. These notes can be converted into up to 421.08 million ordinary shares at a conversion price of USD 2.32 per share.

• Aside from the minor option lapse, LUFAX reported no other share issuances, repurchases, or treasury movements during the month. All disclosures were authorised by the board and complied with Hong Kong listing regulations.
