Billion Industrial trims share count by 0.02% in July on HK$ share buy-backs; public float intact

Billion Industrial Holdings Limited reported that its issued share capital fell by 394,000 ordinary shares in July 2026, driven entirely by on-market repurchases executed and immediately cancelled on 24 July 2026.

Key figures for the month ended 31 July 2026: • Authorised share capital remained unchanged at 10.00 billion ordinary shares with a par value of HK$0.01, equivalent to HK$100.00 million.

• Issued shares outstanding declined from 2.110814 billion to 2.110420 billion, a reduction of 0.019% following the cancellation of repurchased stock (24,000 shares approved on 23 May 2025 and 370,000 shares approved on 15 May 2026). No treasury shares were held at month-end.

• The company confirmed compliance with the Main Board’s minimum public-float requirement of 25%, indicating that at least one-quarter of its issued shares remained in public hands despite the modest buy-backs.

• There were no new share issues, option exercises, warrant conversions, or other equity-linked securities movements during the period.

The filing, submitted to Hong Kong Exchanges and Clearing on 3 August 2026, underscores Billion Industrial’s ongoing capital management strategy while maintaining regulatory float thresholds.
