Emperador Inc announced that it has filed its Integrated Annual Corporate Governance Report for the fiscal year ended Dec, 31 2025 with the Philippine Securities and Exchange Commission.
The 77-page document affirms the company’s full compliance with the 16 principles of the Philippine Code of Corporate Governance, covering areas such as board composition, risk oversight, related-party transactions and shareholder rights.
Emperador’s seven-member board is composed mainly of non-executive directors, including three independent directors who chair the audit, risk oversight and related-party transactions committees. The audit committee convened nine times in 2025, while the company confirmed that no independent director has exceeded the nine-year term limit.
The filing also outlines policies on board diversity, succession planning, remuneration, enterprise risk management and whistle-blowing. Emperador reported a public float of 20.46%, above local listing requirements, and reiterated that its internal control and risk management systems are reviewed annually.
