Raffles Education Limited (NR7) has issued 15,384 new ordinary shares at a conversion price of SGD 0.065 per share following the partial conversion of its outstanding convertible bonds, the company announced on May 28, 2026. The transaction, completed on May 25, reduced the principal amount of the group’s convertible bonds by SGD 1,000 to SGD 38.500 million and raised the firm’s issued share capital to 1,817,444,997 shares from 1,817,429,613 shares previously.
The newly issued shares rank pari passu with the existing stock and will be listed and quoted on the Mainboard of the Singapore Exchange on May 29, 2026, with trading set to begin at 9:00 a.m.
Raffles Education launched its convertible bond programme in August 2022 via a rights issue and a placement exercise to strengthen its balance sheet. Following the latest conversion, the company’s convertible bonds outstanding have decreased marginally, and the group continues to honour conversion requests in accordance with the terms of the 30 August 2022 trust deed.
