Wai Yuen Tong to Seek New Issuance & Buy-back Mandates, Plans HK$1.12 Billion Share-Premium Cut at 19 August AGM

Wai Yuen Tong Medicine Holdings (Wai Yuen Tong, 00897) has released its 2026 AGM circular detailing several capital management and governance proposals to be tabled on 19 August 2026 in Hong Kong.

Key AGM Proposals 1. Capital Mandates • New Issue Mandate: Directors will seek authority to allot and issue up to 222.88 million new shares, equivalent to 20% of the 1.11 billion shares in issue as at 20 July 2026. • New Repurchase Mandate: Approval to buy back up to 111.44 million shares (10% of issued share capital). Shares repurchased may be cancelled or held as treasury stock, and any repurchased amount will extend the issuance limit. • Existing 2025 mandates, which were unused, will lapse at the AGM.

2. Share-Premium Reduction • The board proposes to transfer HK$1.12 billion standing in the share-premium account to contributed surplus. • The move, effective the business day after shareholder approval (subject to solvency confirmation), is intended to enlarge distributable reserves and provide flexibility for future dividend distributions.

3. Board Changes and Auditor • Re-election: Executive Chairman & Managing Director Mr Tang Ching Ho and independent non-executive director (INED) Mr Li Ka Fai, David will stand for re-election. Mr Li has served as an INED for over nine years; the board affirms his continued independence. • Auditor: Re-appointment of Ernst & Young is proposed, with the FY2027 audit fee estimated at HK$3.40 million–HK$3.80 million.

Share Capital Snapshot • Shares in issue: 1,114.38 million; no treasury shares. • Controlling shareholder Wang On Group (WOG) holds 72.71% (810.32 million shares). Full utilisation of the repurchase mandate would lift WOG’s stake to 80.79%, still within public-float requirements.

Recent Share Repurchases • Between 24–26 March 2026, the company bought back 10.72 million shares at HK$0.355–0.365 apiece.

Logistics • AGM: 19 August 2026, 11:30 a.m., Event Room 1-5, LG/F, New World Millennium Hong Kong Hotel, Tsim Sha Tsui East. • Shareholders must lodge transfer documents by 4:30 p.m. on 13 August 2026 to qualify for attendance and voting.
