NIU HOLDINGS (08619) announced that on August 22, 2025, the company received a winding-up petition filed against it by Zhongrun Enterprise Finance Limited (formerly known as Zhongrun Finance Limited) (the "Petitioner") at the High Court of the Hong Kong Special Administrative Region. The petition relates to outstanding debts provided by the Petitioner, involving a principal amount of HK$2 million plus accumulated interest.

The Board of Directors believes that the petition lacks legal foundation and is not in the best interests of the company or its broader stakeholder community. The company will seek legal counsel and take action to vigorously oppose the petition. The company's primary objective is to resolve this matter, including efforts to facilitate the withdrawal or dismissal of the petition as soon as possible.

Given that the amount mentioned in the petition is relatively small compared to the company's audited cash and bank balances of approximately HK$16.4 million as of March 31, 2025, the Board believes that the petition will not have a material impact on the business operations and financial condition of the company and its subsidiaries. The company's operations and financial condition remain healthy and normal as of the date of this announcement.
