Minerva Group Posts Stable Capital Structure in August 2026, Confirms Adequate Public Float

Minerva Group Holding Limited filed its Monthly Return for Equity Issuer for the period ending 31 August 2026, showing no movements in either authorised or issued share capital during the month.

The company’s authorised share capital remains at 30.00 billion ordinary shares with a par value of HKD 0.01, equivalent to HKD 300.00 million.

Issued share capital is unchanged at 3.42 billion ordinary shares, and the group holds no treasury shares. Consequently, total issued shares and the public float ratio were steady throughout the month.

Minerva Group confirmed compliance with Hong Kong Stock Exchange Main Board Rule 13.32D(1), satisfying the minimum 25 percent public float requirement as at 31 August 2026.

Under the 2023 New Share Option Scheme, no options were outstanding, granted, exercised or cancelled in August. The scheme continues to authorise up to 278.36 million shares for future issuance, implying potential dilution headroom of about 8.14 percent against current issued share capital.

The return also reported no warrants, convertibles, other share agreements, or treasury-share transactions during the month. All requisite regulatory confirmations were provided by Director Li Wing Cheong, indicating full compliance with listing and statutory obligations.
