Qingling Motors (HK: 01122) has issued a proxy form outlining the agenda for an extraordinary general meeting (EGM) set for 22 April 2026, 10:00 a.m. at the company’s Intelligent Network New Energy Commercial Vehicle R&D Center in Chongqing. The meeting will address a comprehensive reshuffle of the board and a series of governance amendments.
Eight Resignations • Shareholders will vote on accepting the resignations of six executive directors—Luo Yuguang, Nakamura Koji, Tsukui Mikio, Xu Song, Li Juxing and Li Xiaodong—and two independent non-executive directors, Long Tao and Song Xiaojiang. • A separate resolution authorises the board to terminate the corresponding service contracts.
Seven New Appointments (2026-2027 Term) • Executive directors nominated: Liu Zhongwei, Kani Takuji, Nagata Tomoya, Xu Dengke and Song Xiumin. • Independent non-executive directors nominated: Yang Xinglong and Hou Qian. • If elected, all new directors will serve from the EGM date until the 2027 annual general meeting. The board is authorised to complete all regulatory filings and documentation associated with these changes.
