Goldstone Capital to Raise HK$22.80 Million via Share Placement, Expanding Capital Base and Investment Capacity

Goldstone Capital Group Limited has signed a placing agreement with Kingsway Financial Services Group to issue up to 47.45 million new shares at HK$0.48 each, aiming to raise gross proceeds of approximately HK$22.80 million. The deal was executed on 18 August 2026 after market close.

The placement represents 20.00% of Goldstone Capital’s existing issued share capital and about 16.67% of the enlarged share base post-issuance. Shares will be sold on a best-efforts basis to at least six independent third-party investors; no placee will become a substantial shareholder.

Pricing was set at parity with the 18 August close of HK$0.48 and carries a 1.26% premium to the five-day average close of HK$0.474. Net proceeds are estimated at HK$20.80 million after deducting an upfront fee of HK$0.20 million and a 7% placing commission payable to Kingsway. The implied net placing price is HK$0.438 per share.

Use of funds is earmarked as follows: approximately HK$5.00 million for general working capital—including staff costs and rental—and around HK$15.80 million for business development and new investments. As of 31 July 2026, the company’s unaudited net liabilities value per share stood at HK$0.007, underscoring management’s view that additional capital is needed to pursue larger-scale investment opportunities.

The shares will be issued under the company’s existing general mandate approved on 15 August 2025; therefore, no further shareholder vote is required. Completion is contingent on Hong Kong Stock Exchange approval for listing the new shares and other customary consents. If conditions are unmet by 14 September 2026, the transaction may be terminated.
