TU YI HLDG (01701) Subsidiary to Acquire 100% Issued Shares of Kabushiki Kaisha Nikkō Kōtsū for 89.5 Million Yen

On February 3, 2026, the buyer, Shuzenji Takitei Kabushiki Kaisha (a wholly-owned subsidiary of the Group), entered into a share purchase agreement with the seller (an independent third party), pursuant to which the buyer agreed to acquire, and the seller agreed to sell, 100% of the issued shares of the target company for a consideration of approximately 89.5 million yen, subject to price adjustments.

The purchase price is adjustable based on the following conditions: 1) All taxes payable listed in the target company's books as of January 31, 2026, will be borne by the seller, and therefore, the consideration shall be adjusted downward by the total amount of such payable taxes; and 2) All bank cash listed in the target company's books as of January 31, 2026, will belong to the seller, and therefore, the consideration shall be adjusted upward by the total amount of such bank cash.

Upon completion of the acquisition, the target company will become an indirect wholly-owned subsidiary of the Group, and the target company's financial results will be consolidated into the Group's financial statements.

The target company, Kabushiki Kaisha Nikkō Kōtsū, is primarily engaged in providing sightseeing bus transportation services.

The Group's principal businesses include: (i) sales of outbound tour packages and local tours; (ii) sales of free independent traveler (FIT) products; (iii) provision of visa application services; (iv) duty-free shop operations; and (v) hotel operations.

The execution of the share purchase agreement will enable the Group to enhance its sightseeing bus capacity to accommodate larger tourist groups and improve the overall customer experience.
