Edvance Intl Calls 11 Sep 2026 AGM to Approve FY 2026 Results, Board Re-elections, Share Mandates and New Award Scheme

Edvance International Holdings Limited has issued a proxy circular for its Annual General Meeting scheduled at 11:00 a.m. (Hong Kong time) on Friday, 11 September 2026 at 25/F, Tower 1, The Millennity, Kwun Tong.

Key matters requiring shareholder approval are as follows:

1. FY 2026 Financial Statements • Adoption of the audited consolidated results for the year ended 31 March 2026 together with directors’ and auditor’s reports.

2. Board Composition and Remuneration • Re-election of four directors: executive director Lam Tak Ling; non-executive director Ang Aaron; and independent non-executive directors Chan Siu Ming Simon and Choi Sum Shing Samson (Mr Chan has served for more than nine years). • Authorisation for the board to set directors’ remuneration.

3. Auditor • Re-appointment of Deloitte Touche Tohmatsu as external auditor and authorisation for the board to fix its remuneration.

4. Share Issuance and Repurchase Mandates • General mandate allowing the board to allot, issue or deal with shares— including any sale or transfer of treasury shares—up to 20 per cent of issued share capital (treasury shares excluded). • General mandate to repurchase shares up to 10 per cent of issued share capital (treasury shares excluded). • Extension of the issuance mandate by the amount of shares repurchased under the above mandate.

5. Equity Incentive Arrangements • Adoption of a new Share Award Scheme, conditional on Stock Exchange approval. • Approval of a scheme mandate limit of up to 10 per cent of the company’s issued shares and a service-provider sub-limit of 1 per cent. • Termination of the existing Share Award Scheme and Share Option Scheme.

Shareholders recorded on the register are entitled to appoint one or more proxies to vote on the resolutions. Completed proxy forms must be lodged with Union Registrars Limited no later than 11:00 a.m. on Wednesday, 9 September 2026.
