Wise Living Technology to Hold 15 May 2026 AGM; Key Votes on FY 2025 Results, Dividend Plan, Financing Mandates and Governance Amendments

Wise Living Technology Co., Ltd. (Wise Living Technology) has issued a proxy form outlining 14 resolutions to be tabled at its annual general meeting (AGM) scheduled for 15 May 2026 at 2:00 p.m. in Taiyuan, Shanxi Province.

The ordinary agenda focuses on concluding the 2025 financial year and setting the course for 2026: • Reports and Accounts: Shareholders will vote on the Board of Directors’ report, the Supervisory Committee report, the 2025 annual report, and the audited consolidated financial statements for the year ended 31 December 2025. • 2026 Budget: Management seeks approval of the financial budget for 2026. • 2025 Profit Distribution: A profit distribution plan for FY 2025 will be presented for shareholder endorsement. • Financing Flexibility: The Board requests authorization to arrange credit lines and provide guarantees for 2026, empowering designated legal representatives to execute related documents. • Director Remuneration: The AGM will authorise the Board to set the remuneration package for directors for the year ending 31 December 2026. • Auditor Re-appointment: HLB Hodgson Impey Cheng Limited is nominated to continue as external auditor for 2026, with remuneration to be set by the Board.

Four special resolutions aim to preserve capital management flexibility and refine corporate governance: • General Mandate to Issue H Shares. • General Mandate to Repurchase H Shares during the defined period. • Amendments to the Articles of Association. • Revisions to the Rules of Procedure for Shareholders’ Meetings and for the Board of Directors.

Shareholders wishing to vote by proxy must lodge completed forms with Computershare Hong Kong Investor Services Limited by 2:00 p.m. on 13 May 2026. Attendance will require valid identification, and corporate shareholders must provide notarised authorisation for representatives.
