2026年9月8日，宁德时代新能源科技股份有限公司（股票代码：03750，以下简称“公司”）公告称，董事会审议通过《关于作废部分已授予尚未归属的限制性股票的议案》，决定对2022年及2023年股权激励计划中不符合归属条件的限制性股票予以作废。
公司披露的具体情况如下：
1. 2022年股票期权与限制性股票激励计划
• 11名激励对象因离职失去激励资格，已获授但尚未归属的55,800股限制性股票作废；
• 1名激励对象2025年度个人绩效考核结果为“C”，其已获授但尚未归属的1,434股限制性股票作废；
• 本次共计作废57,234股限制性股票。
2. 2023年限制性股票激励计划
• 6名激励对象离职，已获授但尚未归属的488,345股限制性股票作废；
• 公司2023—2025年累计营业收入为11,866.31亿元，未达到第三个归属期“累计营业收入不低于12,900亿元”的考核目标。由此，58名仍在岗激励对象当期应归属的1,570,355股限制性股票全部作废；
• 本次共计作废2,058,700股限制性股票。
综上，两个激励计划合计作废限制性股票2,115,934股。
公司表示，作废相关限制性股票不会对财务状况和经营成果产生实质性影响，也不会影响公司管理团队稳定性或股权激励计划的继续实施。董事会薪酬与考核委员会及上海市通力律师事务所分别发表同意及合规意见。
本次作废事项已获公司董事会授权，无需提交股东大会审议。
