Dmall completes HK$2.44 million on-market buyback; treasury shares rise to 38.38 million

Dmall Inc. repurchased 321,300 ordinary shares on 5 May 2026, according to its latest Next Day Disclosure Return filed with the Hong Kong Stock Exchange.

The on-market transaction was executed within a price range of HK$7.50 to HK$7.67, translating into a volume-weighted average repurchase price of HK$7.59 per share and a total outlay of HK$2.44 million.

Key post-transaction share data • Issued shares (excluding treasury): reduced from 899.43 million to 899.11 million, a 0.04% decline. • Treasury shares: increased from 38.06 million to 38.38 million. • Total issued shares (including treasury): unchanged at 937.49 million. • Repurchased shares retained as treasury: 321,300; none were cancelled.

Repurchase mandate utilisation • Shareholders on 23 May 2025 authorised Dmall to repurchase up to 89.96 million shares. • Cumulative buybacks under this mandate now total 38.38 million shares, representing 4.27% of the company’s issued share count on the mandate date. • Under Hong Kong listing rules, Dmall is restricted from issuing or selling treasury shares until 4 June 2026 (30 days after the most recent repurchase).

Governance confirmation The board affirmed that the repurchase complied with all applicable listing rules and regulatory requirements, and that all necessary authorisations and filings have been completed.
