百胜中国控股有限公司（09987）于2026年2月13日发布翌日披露报表，公告显示公司于美国及香港市场多次回购股份，并向股权激励计划参与人发行新股，导致已发行股本发生变动。
根据公告，公司于2026年2月11日在美国回购并于2026年2月12日注销52,809股普通股，占前次结存已发行股本的0.02%，每股回购价为56.81美元。同时，公司于2026年2月12日依据其长期激励计划发行112,857股新股，占前次结存已发行股本的0.03%，发行价为53.65美元。上述回购与发行完成后，截至2026年2月12日，公司已发行股份总数增至354,450,717股，库藏股结存为0。
此外，自2025年12月4日至2026年2月12日期间，公司在香港亦多次回购股份但尚未注销。最新一笔回购于2026年2月12日完成，数量为17,650股，价格区间介于每股港币431.8至442.2元，总金额约港币7,702,869.48元。同日在美国也回购了55,188股，价格介于每股53.54至55.81美元，总成本约2,999,964.49美元。回购授权于2025年5月23日获得通过，授权总数为37,239,649股。截至目前，公司已累计回购20,421,345股，占授权通过时已发行股本的5.48%。
公告称，此次股份变动及回购均符合香港联交所主板上市规则及相关法规。上述披露由联席公司秘书张玲签署。
