Glory Flame postpones effective date of share consolidation, capital reduction and share sub-division

Glory Flame Holdings Limited announced on 16 July 2026 that the implementation of its capital reorganisation—comprising a share consolidation, capital reduction of issued consolidated shares, and sub-division of unissued consolidated shares—will not take effect on the previously scheduled date of 17 July 2026.

The delay stems from additional time required by the Cayman Registrar to complete registration of the Solvency Statement and related minutes for the capital reduction. A revised timetable for the corporate actions will be released once available.

Key milestones already achieved include shareholder approval of the special resolution at the annual general meeting on 26 June 2026. All other terms outlined in earlier announcements and the circular dated 5 June 2026 remain unchanged.

The share consolidation, capital reduction and share sub-division are still conditional and may not proceed if remaining requirements are not satisfied. The company advises shareholders and potential investors to exercise caution when dealing in its securities.
