2026年8月17日，迪诺斯环保科技控股有限公司（01452，以下简称“迪诺斯环保”或“公司”）发布补充公告，就2026年7月31日刊发的有关股份认购及清洗豁免（Whitewash Waiver）的通函补充披露关键信息。
公告显示，交易完成后，认购人、Advant Performance、Fine Treasure Asia Holdings Limited及其一致行动人士合计持有的公司已发行股本将增至约59.33%。在获得清洗豁免后，认购人可进一步增持公司投票权，而无需根据收购守则第26条履行全面要约义务。
根据交易安排，清洗豁免的生效须满足以下条件：须于股东特别大会上就清洗豁免取得不少于75%独立股东投票支持，并就股份认购取得超过50%独立股东投票支持；同时，股份认购亦须待执行人员正式授予清洗豁免并获独立股东批准后方可完成。公告强调，由于股份认购及相关豁免仍受若干先决条件限制，因此交易未必最终完成。
公司董事会提示股东及潜在投资者，买卖公司股份时应保持审慎，并在有需要时寻求专业意见。
