Amuse Group Sets 14 August 2026 AGM; Proposes Financial Statement Adoption, Director Re-elections and Share Mandates

Amuse Group Holding Limited (Amuse Group) has issued a notice convening its 2026 Annual General Meeting (AGM) for 14 August 2026 at 11:00 a.m. at Flat B, 33/F, Plaza 88, No. 88 Yeung Uk Road, Tsuen Wan, Hong Kong.

Agenda highlights • Financial results: Shareholders will be asked to receive and adopt the audited consolidated financial statements and the reports of the directors and auditor for the year ended 31 March 2026.

• Auditor: CCTH CPA Limited is nominated for re-appointment, with the board authorised to determine its remuneration.

• Board composition: Resolutions will be tabled to re-elect Ms. Lee Kwai Fong as Executive Director, Mr. Chu Wai Tak as Non-executive Director and Mr. Tung Man as Independent Non-executive Director.

• Directors’ remuneration: The board is seeking authority to fix remuneration for all directors.

Capital management mandates • Issue mandate: Directors may allot, issue or deal with additional shares and related securities up to 20% of the company’s issued share capital as at the date of the AGM.

• Repurchase mandate: Directors may repurchase shares on the Hong Kong Stock Exchange or other recognised exchanges up to 10% of issued share capital.

• Extension mandate: The share issue mandate may be increased by the aggregate nominal amount of shares repurchased under the repurchase mandate, capped at 10% of issued share capital.

Special resolution • Constitutional update: Shareholders will vote on adopting a third amended and restated memorandum and articles of association, replacing the existing version in full. A director or officer will be authorised to complete all filings to effect the change.

Key timetable • Register closure: 11 August 2026 to 14 August 2026 (both days inclusive). • Share transfer deadline for voting eligibility: 4:30 p.m. on 7 August 2026 at Tricor Investor Services Limited.

The board is chaired by Executive Director Mr. Li Wai Keung.
