ATV Holdings Shareholders Remove Four Directors at 2025 EGM; Trading Still Suspended

Asia Television Holdings Limited (ATV Holdings) confirmed that all six ordinary resolutions tabled at the extraordinary general meeting on 12 August 2025 were passed by poll, resulting in a broad reshuffle of the board.

Resolutions 1–4 removed executive director Ms. Tang Po Yi and independent non-executive directors Ms. Han Xingxing, Mr. Li Yu and Mr. Lau Jing Yeung William with immediate effect. Resolution 5 simultaneously dismissed any director appointed by the board between 27 June 2025 and the EGM date without prior shareholder approval, while Resolution 6 authorised the remaining directors to execute all actions required to implement the above decisions.

Each resolution secured 1.21 billion votes in favour—equivalent to 99.24% of the 1.22 billion votes cast—with only 9.27 million votes (0.76%) against. The company’s issued share capital stands at 2.23 billion shares, all of which were eligible to vote.

Infinity CPA Limited acted as independent scrutineer for the poll. Executive director Mr. Liu Minbin was the sole board member present at the meeting.

Trading in ATV Holdings’ shares has been suspended since 9:00 a.m. on 11 August 2025 and will remain halted until further notice. Shareholders and potential investors are advised to exercise caution when dealing in the securities.
