WLS Holdings Completes 1-for-1 Rights Issue, Secures HK$83.20 Million Net Proceeds

WLS Holdings Limited has finalized its 1-for-1 rights issue, allotting 359.18 million new shares at HK$0.24 each and generating gross proceeds of approximately HK$86.20 million. After expenses, net proceeds stand at HK$83.20 million.

Subscription results show that only 109.23 million rights shares, or 30.41% of the offer, were taken up by existing shareholders through provisional allotment letters. The remaining 249.95 million unsubscribed shares were fully placed by the appointed placing agent at the same HK$0.24 subscription price, leaving no distributable net gain for shareholders who did not act.

Post-transaction, WLS Holdings’ issued share capital has doubled to 718.36 million shares. Public shareholders now hold 468.40 million shares (65.2%), while new placees own 249.95 million shares (34.8%). No placee became a substantial shareholder upon completion.

Net proceeds have been earmarked as follows: HK$73.00 million for repayment of matured borrowings and HK$10.20 million for general working capital, including staff salaries, office and warehouse leases, and plant maintenance.

The rights issue and placing became unconditional on 22 May 2026. Share certificates for fully-paid rights shares are scheduled for dispatch on 29 May 2026, with trading set to commence on the Hong Kong Stock Exchange at 09:00 on 1 June 2026.
