Wan Leader secures shareholder approval for new share subscription mandate with 99.99% support

Wan Leader International Limited announced that its sole resolution at the Extraordinary General Meeting (EGM) on 18 September 2026 was approved by poll with overwhelming shareholder backing.

Key outcomes

• Voting result: 43.56 million shares (99.99%) were cast in favour of approving (1) the Subscription Agreement, (2) the grant of a Specific Mandate to issue the related subscription shares, and (3) authorisation for directors to execute all implementation actions. Only 10 votes (0.01%) were cast against.

• Voting base: 179.69 million shares were in issue as of the EGM date. After Ho Tat Limited—wholly owned by the prospective subscriber and therefore required to abstain—was excluded, 179.69 million shares were eligible to vote. No other shareholders were required to abstain, and no votes were rejected.

• Participation: Approximately 43.56 million shares were voted, equal to about 24.24% of the eligible voting shares.

Governance and compliance

All executive, non-executive and independent non-executive directors attended the meeting in person or via electronic means. Tricor Investor Services Limited acted as scrutineer for the poll. The company confirmed full compliance with the GEM Listing Rules, and directors asserted that the information disclosed is accurate and complete in all material respects.
