Century Sunshine delays FY2025 results; trading to remain suspended as resumption conditions linger

Century Sunshine Group Holdings Limited announced a further postponement in publishing its FY2025 audited results and annual report, citing unresolved legal and operational hurdles that have also kept its shares suspended since 1 April 2025.

The Hong Kong Stock Exchange has set five resumption conditions, including publication of all outstanding financials, demonstration of sufficient operations under Listing Rule 13.24, restoration of board and committee composition, compliance with diversity rules, and full market disclosure. None has yet been fully met.

Audit progress • Alternative procedures have satisfied auditors for previously missing bank confirmations. • Finalisation of FY2024 and 1H 2025 statements remains on hold pending court-supervised liquidation information for Jiangxi Tianrui and outcomes of Shandong Hongri’s litigation.

Shandong Hongri developments • Soil-remediation standards tied to an Administrative Ruling remain disputed; Shandong Hongri has requested administrative review to overturn a unilateral termination notice from the Linyi Municipal Government. • A judicial auction of Shandong Hongri’s land-use rights—initially set for 16 February 2026 with an appraised value of RMB182.60 million and a reserve price of RMB127.80 million—has been stayed after the company challenged the valuation methodology. • Shandong Hongri has petitioned China’s Supreme People’s Court for a retrial of the Administrative Ruling that underpins the soil-remediation requirement.

Listing-rule compliance gaps The board still lacks a female independent non-executive director, breaching Rules 3.10(1), 3.21, 3.27A and 13.92. Management attributes the delay to talent shortages amplified by ongoing U.S. trade restrictions and the prolonged trading halt.

Operational snapshot • Fertiliser segment continues to face severe liquidity pressure and relies primarily on brand licensing, with no progress on compensation for relocation of Shandong Hongri’s production facility. • Magnesium products operations remain largely unaffected and continue normal production.

Next steps The board meeting originally scheduled for 31 March 2026 has been deferred, and no dividend will be considered until audited numbers are ready. The company will issue further announcements on the expected publication dates of the FY2025 results and report, as well as on progress toward satisfying resumption conditions.

Trading in Century Sunshine’s shares will stay suspended until all guidance items are fulfilled and the Hong Kong Stock Exchange grants approval for resumption. Shareholders and investors are urged to exercise caution when dealing in the company’s securities.
