Sinotrans (HK: 00598) announced that its First Extraordinary General Meeting (EGM) of 2026, held on 7 August 2026 in Beijing, decisively approved the appointment of Mr Li Feng and Mr Sun Jianfeng as directors. Their terms will run through to the end of the company’s fourth board session.
Voting outcome • Li Feng: 4.96 billion shares (98.26%) in favour; 65.93 million shares (1.31%) against; no abstentions. • Sun Jianfeng: 4.96 billion shares (98.25%) in favour; 66.16 million shares (1.31%) against; no abstentions. With more than half of the votes cast supporting each nominee, both ordinary resolutions were duly passed.
Shareholder participation • Total issued share capital: 7.17 billion shares (5.16 billion A-shares; 2.02 billion H-shares). • Voting shares represented: 5.05 billion, equal to 70.40% of shares entitled to vote. – A-shares present: 4.19 billion (58.40% of total) – H-shares present: 0.86 billion (12.00% of total) • Attendees: 214 shareholders and authorised proxies (213 A-shareholders; 1 H-shareholder).
Compliance and oversight BDO China Shu Lun Pan Certified Public Accountants LLP acted as scrutineer, and Jia Yuan Law Offices provided legal oversight. Both parties confirmed that the meeting procedures and voting results complied with applicable regulations and the company’s Articles of Association.
Board attendance Directors Gao Xiang, Luo Li, Huang Chuanjing and Gong Weiguo, together with independent non-executive directors Wang Xiaoli, Ning Yaping, Cui Xinjian and Cui Fan, attended the meeting. Chairman Zhang Yi and director Jerry Hsu were absent due to other commitments.
Following the shareholder vote, Sinotrans’ board now comprises nine directors, incorporating the newly appointed Li Feng and Sun Jianfeng.
