2026年9月8日，诺诚健华医药有限公司（09969）发布公告称，其全资子公司北京诺诚健华医药科技有限公司已完成广州诺诚健华医药科技有限公司3.5%股权的受让及工商变更登记。本次受让价款为23,816.8万元，折合约2.38亿元。
根据公司2025年8月19日董事会决议，诺诚健华拟以自有资金不超过4.76336亿元分两次收购广州高新区科技控股集团有限公司所持广州诺诚健华7%的剩余股权。此次已完成的为第一次转让，涉及目标股权的一半（3.5%）。交易通过产权交易所公开挂牌竞价方式完成，不构成关联交易，亦不属于重大资产重组。
交易完成后，北京诺诚健华对广州诺诚健华的持股比例由93%提升至96.5%，高新科控持股降至3.5%。公司表示，持股比例提升有助于增强对子公司的控制力及运营效率，交易资金来源为自有资金，对公司财务状况和经营成果无重大不利影响。
高新科控后续仍将转让剩余3.5%股权。诺诚健华将按照产权交易所相关规定继续参与第二次挂牌竞价。公司提示，第二次交易能否成功摘牌及最终成交价格存在不确定性，敬请投资者关注相关风险。
