德祥地产于2026年7月29日发布公告，董事会建议在即将召开的股东周年大会上授予购回股份的一般性授权，规模最高可达公司已发行股本的10%。
公告显示，德祥地产（00199）在香港联合交易所有限公司主板上市，于最后实际可行日期，公司已发行股份总数为1,088,638,092股。若本次购回授权获得股东批准，并假设截至大会召开日前无增发或购回情况，则公司最多可在公开市场回购108,863,809股，占已发行股本的10%。参考公告，董事会指出，购回所需资金将从符合百慕达法规定及相关上市规则的合法来源拨付，包括可分派盈余或股份溢价账等，并称本次回购将为股东带来更佳回报并优化公司资本结构。
公司在公告中披露了近12个月的股价区间：自2025年7月至2026年7月，股价最高曾达2.92港元/股，最低为0.193港元/股。董事会表示，本次购回计划如全面执行，不会对业务营运及财务状况产生重大不利影响，并认为此举符合公司及股东的整体最佳利益。
根据公告，股东周年大会定于2026年8月21日召开，届时将就购回股份授权等议案进行表决。用于购回股份的资金将受制于相关法律法规及公司细则约束，会议期间公司股份过户登记也将相应暂停办理。董事会强调，若获得股东批准，将适时决定是否及何时在公开市场实际执行股份购回。公司提醒股东留意相关会议安排，按需行使投票权。
