Radiance Global: Shareholders Unanimously Back AGM Agenda, Confirm New INED Line-up and Board Committee Overhaul

Radiance Global Group Holdings Limited reported that every one of the 11 resolutions tabled at its 12 June 2026 annual general meeting (AGM) secured 100% shareholder support by poll, signalling full backing for the company’s refreshed governance structure and corporate documentation.

All 392.77 million votes cast—equivalent to 54.55% of the 720 million shares in issue—were in favour of each motion, with zero votes recorded against or abstaining. Boardroom Share Registrars (HK) Limited acted as the independent scrutineer.

Key ordinary resolutions • FY 2025 financial statements and auditor’s report were received and adopted. • Executive directors Liu Huanjin, Liu Yingdong and Wang Qiaolian were re-elected. • HLB Hodgson Impey Cheng Limited was re-appointed as external auditor. • The board received fresh 20% share-issuance and 10% share-repurchase mandates, together with an extension mandate combining both.

Board refresh Three long-serving independent non-executive directors (INEDs)—Dr. Tan Teng Hooi, Ng Shing Kin and Leong Jay—retired at the close of the meeting. Shareholders simultaneously approved the appointments of Leung Ka Wai, Dong Xinjian and Chen Yuquan as new INEDs.

Committee recomposition • Audit Committee: Leung Ka Wai takes over as chair. • Nomination Committee: Dong Xinjian becomes chair. • Remuneration Committee: Chen Yuquan assumes chairmanship.

Each new INED also joins the other two committees as a member, maintaining the board’s three-committee framework and independent oversight ratio.

Corporate governance documentation A special resolution adopting the company’s third amended and restated memorandum and articles of association (M&A) passed with 100% support, replacing the previous version effective immediately after the AGM.

All directors attended the meeting either in person or electronically, and no shareholder restrictions, abstentions or contested votes were recorded.
